This Affiliation Agreement is entered into and effective the date in which the agreement is executed via the MyMotorCycleJobs web site upon acceptance into the Affiliation Agreement.  This agreement is between MyMotorcycleJobs.com (henceforth referred to as MMJ) and the person(s) electronically agreeing to the terms herein below (henceforth know as Affiliate):

1. Term.

  1. The term of this Agreement shall be for (3) three years, commencing on the Effective Date in which MMJ accepts the Affiliate into the Affiliation Program.  This Agreement may be renewed on a year-to-year basis after expiration by written agreement of the parties. The parties may revise or modify this Agreement only by a written amendment signed by both parties.

2. General Terms.

  1. The purpose of this Agreement is to establish an affiliation between MMJ and the Affiliate to provide a mutual understanding of the requirements of and for each party of this agreement.

  2. MMJ and the Affiliate go into this agreement with the understanding that each will adhere to the best of their abilities each aspect of this agreement unless prohibited by law. 

  3. If any aspect of this agreement is suspected to be in violation of any local, state and/or federal law, the parties suspecting such violation will immediately notify the other party. 

  4. Each party is expected to perform their duties of this agreement to the best of their ability without prejudice or malice.

  5. Either party of this agreement may terminate and withdrawal from said agreement with thirty (30) day written notification to the other party.  The termination and cease agreement date will be effective on the 30th day following the signing of the termination agreement by both party’s.  

  6. Any monies accumulated within the thirty (30) day period will be surrendered to the Affiliate as outlined under the agreement.

  7. All transitions and agreements made during the period of this Affiliation Program must be in writing and signed by both parties of this agreement.

3. Obligations of Each Party.

  1. MMJ promises and agrees to pay the Affiliate in considerations for allowing MMJ to have placed within a prominent location on the Affiliates website a banner which will open a new window to the MMJ website.  The amount of compensation for allowing said link on the Affiliate website will be in the amount of 6.5% of any and all revenues generated as a result of the MMJ link on the Affiliate's website.

  2. MMJ will implement a method capable of tracking and determining the amount of revenue generating traffic as a result of visit to the MMJ website from the link displayed on the Affiliate's URL address. The Affiliate will have access to all this tracking and revenue data.

  3. Six point five percent (6.5%) of revenues generated will be paid to the "web site only" Affiliate and eight point five percent of revenues generated will be paid to the "web site and print media" Affiliate after the 1st of the month following the month in which the revenues were generated but no later than the 15th of that same month. 

  4. Payments will be made via electronic transfer in U.S. currency to a financial institute of the Affiliate choice within the U.S. jurisdiction or directly sent to a PayPal account.  If payment is requested in check, a $5.00 charge will be deducted from the total amount due the Affiliate for administrative charges.

  5. The Affiliate is responsible for any and all fees associated with the transfer of funds of this program to its approved financial institution or any and all fees incurred through PayPal.

  6. MMJ will make available to the Affiliate through the affiliation's control panel, a report denoting the resulting revenue generation as a result of the MMJ link on the Affiliate's website.

  7. The MMJ banner should be located in a prominent location on the Affiliate website

  8. The MMJ banner will provide to the Affiliate an official MMJ logo banner of a dimension suitable and in keeping with the overall appearance of the Affiliate's website

  9. No modifications of the MMJ banner or its logo are authorized. 

  10. If Affiliate breaches any aspect of this agreement, all revenues generated up to the point of the breach will be forfeited to MMJ.

  11. Affiliate agrees to display in a predominate location on its website the MMJ banner which will open a new window to MMJ website. If Affiliate thus chooses to not display the banner in a predominate location, this will only impact the Affiliate's ability to generate revenue from MMJ's Affiliation Program if the Affiliate's visitors are unable to visibly see the banner.
